These Terms and Conditions govern the provision of services by Fox Tucker trading as Leaders Social.
By purchasing, commissioning or otherwise agreeing to use a Leaders Social service, you agree to these Terms and Conditions.
About Leaders Social
Leaders Social is the trading name of Fox Tucker, a sole trader based in the United Kingdom.
References in these Terms to “Leaders Social”, “I”, “me” or “my” mean Fox Tucker trading as Leaders Social.
Leaders Social provides specialist LinkedIn® consultancy and related digital marketing services for business leaders and companies.
Services may include:
LinkedIn® Company Page optimisation
LinkedIn® Company Page management
Company newsletter strategy, writing and management
LinkedIn® profile optimisation
Content strategy and content creation
Research
Consultancy and advisory services
Training and coaching
Related digital marketing services
The precise scope of work will be set out on the relevant service page, proposal, quotation, invoice, payment page, email correspondence or other written agreement between Leaders Social and the client.
Business-to-Business Services
Leaders Social primarily provides services to businesses, company directors, executives and other professionals acting for purposes connected with their trade, business or profession.
Unless expressly agreed otherwise in writing, all services are supplied on a business-to-business basis.
Scope of Work
The services included in an engagement will be those expressly agreed before work begins.
Anything not included within the agreed scope may be treated as additional work and may require an additional fee.
Where a service includes a defined number of deliverables, revisions, meetings, posts, newsletters, profiles, pages or other items, additional requirements may be charged separately.
Leaders Social may recommend changes to the scope where new information or circumstances make this appropriate. Any material change affecting fees will be agreed with the client before the additional work is undertaken.
Client Responsibilities
The client agrees to provide Leaders Social with the information, materials, access and cooperation reasonably required to deliver the services.
This may include:
accurate information about the company or individual
access to relevant LinkedIn® Pages or other platforms
brand guidelines
images, logos and other assets
information about products, services, people and company activities
timely feedback and approvals
access to relevant employees or stakeholders where required
The client is responsible for ensuring that information supplied to Leaders Social is accurate, lawful and suitable for publication.
Delays in providing information, access, feedback or approvals may affect delivery dates.
Access to Accounts and Platforms
Where access to a LinkedIn® Page, website, social media account or other third-party service is required, the client is responsible for providing an appropriate level of authorised access.
Clients should not send passwords unless specifically necessary and agreed. Where possible, administrator, manager, partner or equivalent access should be provided through the platform’s own permissions system.
The client remains responsible for ownership and ultimate control of its accounts.
LinkedIn® and Other Third-Party Platforms
Leaders Social is an independent consultancy and is not affiliated with, endorsed by or sponsored by LinkedIn Corporation or Microsoft Corporation.
LinkedIn® is a registered trademark of LinkedIn Corporation.
Services may depend upon features, functionality, policies or systems operated by LinkedIn® or other third parties.
Leaders Social cannot guarantee that any third-party platform will continue to provide a particular feature or operate in a particular way.
Leaders Social is not responsible for:
platform outages
account restrictions or suspensions
changes to algorithms
changes to platform functionality
changes to eligibility requirements
changes to publishing or distribution features
third-party technical failures
actions taken directly by LinkedIn® or another platform provider
Where a platform change materially affects an agreed service, Leaders Social will make reasonable efforts to adapt the service.
Results and Performance
Leaders Social provides professional strategy, optimisation, content and management services but does not guarantee particular commercial or platform results.
No guarantee is made regarding:
follower growth
impressions or reach
engagement
search rankings
enquiries
leads
sales
media coverage
LinkedIn® recommendations
Google visibility
AI search visibility
inclusion within AI-generated responses
any other specific performance metric
Results depend on many factors outside Leaders Social’s control, including the client’s market, reputation, content, existing audience, competitors, platform algorithms and wider business activity.
Any examples of previous performance, case studies or indicative outcomes are illustrative and should not be interpreted as guarantees of future results.
Fees
Fees will be confirmed before the engagement begins.
Prices may be displayed on the Leaders Social website, payment pages, quotations or proposals.
Unless otherwise stated, prices are quoted in pounds sterling and U.S. dollars.
Where prices are also offered in another currency, the amount agreed at the time of purchase will apply.
Leaders Social reserves the right to change advertised prices at any time.
Price changes will not retrospectively affect work that has already been paid for or a fixed-price engagement already agreed.
Payment
Payment terms will be specified when a service is commissioned.
One-off services may require full payment before work begins.
Recurring services are normally payable in advance for each service period.
Payments are processed through Stripe or another authorised payment provider. Payment providers may operate under their own terms and privacy policies.
Where an invoice or recurring payment becomes overdue, Leaders Social may pause work until outstanding amounts have been paid.
Any costs reasonably incurred in recovering overdue commercial debts may also be recoverable where permitted by law.
Recurring Services
Where a client purchases an ongoing management, newsletter or retainer service, recurring fees are payable in advance unless otherwise agreed.
LinkedIn® Company Page Management
LinkedIn® Company Page Management is subject to a minimum initial commitment of three months.
After the initial three-month period, the service continues on a rolling monthly basis unless terminated by either party by giving at least one month’s written notice.
Notice may be given during the initial three-month period, but termination cannot take effect before the end of that minimum commitment.
Fees remain payable throughout the minimum commitment period and during the applicable notice period.
Any different minimum term, notice period or commercial arrangement expressly agreed in writing with a client will take precedence over this section.
Cancellations and Refunds
Because Leaders Social provides professional services and reserves time specifically for client work, payments are generally non-refundable once work has begun.
If a client cancels a project before work begins, Leaders Social may, at its discretion, refund some or all of the payment, less any costs already incurred.
Where substantial preparatory work, research, strategy or scheduling has already taken place, Leaders Social reserves the right to retain an appropriate proportion of the fee.
Recurring payments already covering a current service period are normally non-refundable.
Nothing in these Terms excludes any statutory rights that cannot lawfully be excluded.
Delivery Dates
Any delivery date provided by Leaders Social is an estimate unless expressly agreed as a fixed deadline.
Leaders Social will make reasonable efforts to meet agreed timescales but will not be responsible for delays caused by circumstances outside its reasonable control or by delays on the part of the client.
Urgent or accelerated work may be subject to additional charges.
Approvals and Publishing
Where the client is asked to approve content before publication, the client is responsible for reviewing it carefully.
Once approved, the content will be treated as authorised for publication.
Where Leaders Social has been authorised to manage a Page or publishing programme without individual approval of every item, Leaders Social will operate according to the agreed strategy, brand guidance and scope of authority.
The client may request that particular content is amended or removed. Leaders Social will make reasonable efforts to action such requests promptly.
Intellectual Property
Unless otherwise agreed, the client retains ownership of materials and intellectual property supplied to Leaders Social.
Once all applicable fees have been paid, the client may use final bespoke content created specifically for that client as part of the agreed engagement.
Leaders Social retains ownership of its underlying methodologies, frameworks, processes, templates, systems, research methods, know-how and pre-existing intellectual property.
Unless otherwise agreed in writing, working files, internal notes, research materials, drafts and methodologies do not form part of the final deliverables.
Third-party materials remain subject to the intellectual property rights and licensing conditions of their respective owners.
Portfolio and Case Studies
Leaders Social will not disclose confidential client information without permission.
Unless otherwise agreed, Leaders Social may identify publicly available work that it has undertaken for a client and may refer to the client relationship in general portfolio or marketing materials.
Where a case study would reveal non-public information, performance data, internal strategy or confidential information, the client’s permission will be obtained before publication.
Clients may request in writing that their engagement remains entirely confidential.
Confidentiality
Both Leaders Social and the client agree to treat non-public commercially sensitive information received during an engagement as confidential.
Confidential information will not be disclosed to third parties except:
where necessary to provide the agreed services
where the other party has authorised disclosure
where the information is already lawfully public
where disclosure is required by law
This obligation continues after the engagement ends.
Data Protection
Personal information will be handled in accordance with applicable UK data protection legislation and the Leaders Social Privacy Policy.

Where client data is processed using third-party platforms or services, those providers may also process information under their own terms and privacy policies.
Artificial Intelligence and Digital Tools
Leaders Social may use professional software, research tools, artificial intelligence systems and other digital technologies as part of its working process.
Such tools may assist with activities including research, analysis, ideation, drafting, editing and workflow management.
Leaders Social remains responsible for the professional service delivered to the client and does not simply provide unreviewed automated output as finished client work.
Clients should not provide highly sensitive, confidential or legally restricted information unless its use has been specifically agreed.
Professional Judgement
Recommendations provided by Leaders Social reflect professional judgement based on the information available at the time.
The client remains responsible for its own commercial, legal, financial, regulatory and business decisions.
Leaders Social does not provide legal, accounting, financial or regulated professional advice.
Limitation of Liability
Nothing in these Terms limits or excludes liability where it would be unlawful to do so.
To the maximum extent permitted by law, Fox Tucker trading as Leaders Social will not be liable for indirect, consequential or special losses, including loss of profits, revenue, business opportunities, goodwill, anticipated savings or data arising from the provision of the services.
Subject to any liability that cannot lawfully be limited, the total liability of Fox Tucker trading as Leaders Social arising from a particular engagement will be limited to the fees paid by the client for the services giving rise to the claim.
The client is responsible for maintaining appropriate backups, account security and internal records.
Events Outside Reasonable Control
Leaders Social will not be liable for failure or delay caused by circumstances outside its reasonable control.
These may include internet or telecommunications failures, third-party platform outages, illness, acts of government, industrial disputes, natural disasters, cyber incidents or other events that could not reasonably have been prevented.
Termination
Leaders Social may terminate or suspend an engagement where:
payment is materially overdue
the client repeatedly fails to provide information or cooperation required to perform the work
the client requests unlawful, misleading or unethical activity
the client behaves abusively or unreasonably towards Leaders Social
continuing the engagement would create a legal, regulatory, reputational or professional risk
Any fees due for work already completed or committed remain payable.
Changes to These Terms
These Terms and Conditions may be updated periodically.
The version applying to a particular engagement will normally be the version in force when that engagement is agreed, unless the parties subsequently agree otherwise.
The latest version will be published on the Leaders Social website.
Governing Law
These Terms and Conditions and any dispute or claim arising from them are governed by the laws of England and Wales.
The courts of England and Wales will have jurisdiction over any dispute arising in connection with these Terms, subject to any rights that cannot legally be excluded.
